Real Estate Law - Commercial

Purchase/Sale/Development/Investment/Financing

Our clients rely on us through all phases, including acquisition, development, financing and sale of commercial properties. Activities include:

  • Negotiation of deal documents
  • Review and Preparation of purchase and sale documents
  • Title reviews
  • Financial structuring and documentation
  • Proper due diligence to avoid inheriting environmental, construction, or land use violations
  • Drafting and negotiating contracts for design and construction efforts

Experience in these matters counts, and Corey Kupfer personally involves himself in this area as it has been his passion for many years. His expertise is reflected in the holdings and dealings of the Blue Whale Real Estate Funds, which he founded and manages.

Kupfer & Associates attorneys have handled deals ranging from an acquisition of a garment center building in Manhattan to parcels in Williamsburg, Brooklyn for condominium development to a warehouse on Long Island for a client’s business use. We have also represented clients in financing deals ranging from hundreds of thousands to tens of millions of dollars.

Leasing

There is no other market in the U.S. that presents the complexity of leasing commercial property in Manhattan. Tenants accustomed to 5-20 page leases elsewhere are amazed when presented with 40-100 page leases in New York. Without experienced legal review they may have no idea how intricately these can be written to the advantage of the landlord.

A small sample of issues of concern are:

  • Understanding loss factor – the square footage you pay for is much higher than the useable square footage and this loss factor is different from building to building.
  • Escalation clauses (which can raise base rents significantly). For example, most out-of-state companies have never heard of a “porter’s wage clause” (tenant rent increases based upon wage increases of certain union workers on the property) not to mention whether it is with or without fringes.
  • Pass-throughs for improvements, tax increases, expense adjustments, etc.
  • Complicated restrictions on assignment, subletting, alterations and other Tenant actions.
  • Relocation clauses.

Because we represent Landlords as well as Tenants, we understand these issues very well from both sides of the table.

"Kupfer & Associates has represented our company since 2000 when Corey Kupfer negotiated our restaurant lease for a prime location in Soho. It was an extremely competitive bidding process, and Corey managed to successfully secure the space for us and even to negotiate extra points in our favor that we wouldn’t have dared to ask for. In 2005, Corey again successfully, and quickly, negotiated a restaurant lease for us in a prime area of Manhattan. Over the past six years, we have consulted with Kupfer & Associates on numerous real estate, corporate and other issues, and we always come away from our conversations feeling comforted by their incredible expertise and insights."
